1. Agreement Overview
This Agency Agreement ("Agreement") governs the relationship between HubQuery ("Platform", "we", "us") and real estate agents, agencies, and property professionals ("Agent", "you", "your") who use the HubQuery platform to list properties, generate leads, and conduct real estate business.
By creating an account, listing properties, or using any HubQuery services as an agent or agency, you agree to be bound by the terms of this Agreement, in addition to our Terms of Service and Privacy Policy.
2. Platform Role and Services
HubQuery provides a marketing and lead generation platform that connects agents with potential buyers, renters, and property seekers. Our services include:
- Property listing and marketing services
- Lead generation and distribution
- Search engine optimization and visibility
- HubQuery Ads and promoted listing options (where available)
- Payment processing for bookings and transactions
- Communication tools and messaging systems
- Analytics and reporting tools
HubQuery is not a real estate brokerage, does not represent buyers or sellers, and does not participate in property transactions. You remain an independent agent or agency and are solely responsible for your real estate activities, compliance with applicable laws, and professional licensing requirements.
3. Commission Splitting
Commission Structure
If HubQuery facilitates a property sale or rental transaction that results from a lead generated through our platform, the following commission structure may apply:
3.1. Applicable Transactions
Commission splitting applies only to transactions where:
- The lead was generated through HubQuery's platform (including website, mobile app, or marketing channels)
- The transaction is completed within 12 months of the initial lead contact
- The transaction involves a property listed on HubQuery
- Both parties (agent and HubQuery) have agreed to the commission structure in writing
3.2. Commission Rates
Commission rates and splitting arrangements are determined on a case-by-case basis and may vary based on:
- Property type and value
- Transaction type (sale, rental, short-term)
- Agent subscription tier or partnership level
- Volume of transactions and platform usage
- Specific marketing or promotional agreements
Commission rates will be clearly disclosed and agreed upon in writing before any transaction is completed. If no specific commission agreement exists, standard platform fees may apply as outlined in your subscription or service agreement.
3.3. Commission Payment
- Commissions are payable within 30 days of transaction completion
- Payment will be made via the payment method on file with HubQuery
- You are responsible for providing accurate transaction documentation and proof of completion
- HubQuery reserves the right to verify transaction completion before processing commission payments
- All commission payments are subject to applicable taxes and deductions
3.4. Disputes
Any disputes regarding commission splitting must be reported to HubQuery within 60 days of the transaction completion date. HubQuery will investigate and resolve disputes in accordance with our dispute resolution procedures.
4. Listing Accuracy and Agent Liability
Agent Responsibility for Listings
You are solely responsible for the accuracy, completeness, and truthfulness of all property listings, photos, descriptions, and information you post on HubQuery.
4.1. Accurate Information
You warrant and represent that all information provided in your property listings is:
- Accurate, current, and truthful
- Not misleading, fraudulent, or deceptive
- Compliant with all applicable laws and regulations
- Based on your own knowledge or verified information
4.2. Property Photos
Critical: You are strictly prohibited from posting fake, misleading, or fraudulent property photos. This includes but is not limited to:
- Using photos of properties other than the listed property
- Using stock photos, renderings, or computer-generated images without clear disclosure
- Heavily editing or manipulating photos to misrepresent property condition
- Using outdated photos that no longer reflect the current state of the property
- Using photos from other listings or third-party sources without authorization
Consequences: Posting fake or misleading photos may result in immediate listing removal, account suspension or termination, legal action, and liability for any damages caused to buyers, renters, or HubQuery.
4.3. Agent Liability
You acknowledge and agree that:
- You are solely liable for any damages, losses, or claims arising from inaccurate, misleading, or fraudulent listings
- HubQuery is not responsible for verifying the accuracy of your listings
- You will indemnify and hold HubQuery harmless from any claims, damages, or losses arising from your listings or real estate activities
- You are responsible for maintaining professional liability insurance as required by your licensing authority
- You will promptly update or remove listings when information becomes inaccurate or outdated
4.4. Listing Moderation
While HubQuery may review and moderate listings, we do not guarantee that all listings are accurate or compliant. You remain solely responsible for your listings regardless of whether they have been reviewed or approved by HubQuery.
5. Non-Circumvention Policy
Prohibition on Lead Theft
Agents are strictly prohibited from circumventing HubQuery's platform to avoid fees, commissions, or to steal leads generated through our services.
5.1. Prohibited Activities
You agree not to engage in any of the following activities:
- Direct Contact to Avoid Fees: Contacting leads generated through HubQuery directly (outside the platform) to complete transactions without using HubQuery's services or to avoid platform fees or commissions
- Lead Sharing: Sharing HubQuery-generated leads with other agents, agencies, or platforms without HubQuery's written consent
- Platform Bypass: Encouraging or facilitating clients to contact you directly or through other channels to bypass HubQuery's platform
- Duplicate Listings: Listing the same property on other platforms with contact information that directs users away from HubQuery
- Information Extraction: Using HubQuery's platform to collect contact information or leads for use on other platforms or services
5.2. Non-Circumvention Period
The non-circumvention obligation applies:
- For a period of 12 months from the date a lead is first generated through HubQuery
- To all leads, contacts, and potential clients introduced to you through HubQuery's platform
- Regardless of whether a transaction is completed or not
- Even if the lead contacts you through other channels after initial HubQuery contact
5.3. Permitted Activities
The following activities are permitted:
- Completing transactions through HubQuery's platform and payment systems
- Working with leads who contact you independently (not through HubQuery)
- Listing properties on multiple platforms, provided HubQuery listings comply with our terms
- Maintaining existing client relationships that predate HubQuery lead generation
5.4. Consequences of Violation
Violation of the non-circumvention policy may result in:
- Immediate account suspension or termination
- Liability for lost fees, commissions, and damages
- Legal action and enforcement of this Agreement
- Reporting to relevant professional licensing authorities
- Permanent ban from using HubQuery's platform
Detection: HubQuery uses various methods to detect circumvention activities, including monitoring communication patterns, transaction tracking, and lead source verification. We reserve the right to investigate any suspected violations.
6. Professional Licensing and Compliance
You represent and warrant that:
- You hold all necessary licenses, certifications, and authorizations required to practice real estate in your jurisdiction
- You will maintain your professional licenses in good standing
- You will comply with all applicable real estate laws, regulations, and professional standards
- You will not engage in any activities that violate your professional licensing requirements
- You will promptly notify HubQuery of any changes to your licensing status or professional standing
HubQuery reserves the right to verify your professional credentials and may suspend or terminate your account if you fail to maintain required licenses or comply with professional standards.
7. Platform Fees and Payments
Your use of HubQuery's platform may be subject to various fees, including but not limited to:
- Subscription fees for premium features or account tiers
- Listing fees for featured or promoted properties
- Transaction fees for completed sales or rentals
- Commission splits as agreed upon in writing
- Marketing and advertising fees for enhanced visibility
All fees will be clearly disclosed before you incur them. You are responsible for maintaining valid payment methods and ensuring sufficient funds for all fees and charges. HubQuery reserves the right to modify fee structures with 30 days' notice.
8. Termination
Either party may terminate this Agreement at any time with or without cause. However:
- Your non-circumvention obligations continue for 12 months after termination
- Outstanding fees and commissions remain due and payable
- HubQuery may immediately terminate your account for violations of this Agreement
- Upon termination, you must remove all HubQuery branding and references from your marketing materials
9. Dispute Resolution
Any disputes arising from this Agency Agreement shall be resolved in accordance with the dispute resolution procedures outlined in our Terms of Service, including binding arbitration in Lagos, Nigeria.

This Agency Agreement is effective as of the date you accept it and supersedes any previous agency agreements. By using HubQuery as an agent or agency, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
